Trading Terms and Conditions – Happy Hull
These Terms and Conditions (“Terms”) govern all transactions between Happy Hull (“the Supplier”) and its customers (“the Customer”). By placing an order or accepting delivery, the Customer agrees to be bound by these Terms.
Supplier Details
Happy Hull, Unit 3, 25 Ditchling Rise, Brighton BN1 4QL, United Kingdom.
1. Pre-Purchase Requirements
- It is the Customer’s responsibility to ensure the boat hull is free of barnacle or marine growth prior to installing a Happy Hull.
- The Customer must confirm that the intended mooring location can accommodate the increased width (typically an additional 50–70 cm) the Happy Hull adds at the waterline.
- Measurements of the slip/mooring must be taken and verified with the Supplier before purchase.
2. Design Variations & Boat Compatibility
Happy Hull products are custom-manufactured based on boat specifications supplied by the Customer. Compatibility varies by engine type:
2.1. Outboard Engines
The product is incompatible with faulty engine lifting/tilting systems. Full tilt capability, as per the boat manufacturer’s design, is essential.
2.2. Inboard Engines
(Sterndrive, Pod Drive, Shaft Drive, Jet Propulsion)
Advice on the suitability of these types of propulsion with a Happy Hull will be taken on a case by case basis.
- Do not pump out water while rear flaps are closed; doing so may cause the fabric to shrink and damage propulsion systems.
- Engines must remain OFF while inside the closed Happy Hull.
- To exit, open rear flaps, ensure 20% clearance, and only then start the engine.
2.3. Bow Thrusters
Bow thrusters must not be used while the vessel is inside the Happy Hull.
3. Mooring Responsibility
- The Customer is solely responsible for confirming that their mooring location is suitable for use with the Happy Hull.
- Supplier is responsible only for ensuring the product fits the supplied boat specifications, not the mooring environment.
4. Acceptance of Orders
- All Orders are subject to acceptance by the Supplier.
- The Customer’s own terms are excluded unless explicitly agreed to in writing.
- Telephone orders must be confirmed in writing. Supplier records prevail in the event of discrepancies.
- A 30% deposit is required to initiate production; the remaining 70% balance is due before dispatch.
- No credit terms are offered.
- Optional shipping insurance is available at the Customer’s cost.
5. Retention of Title
- Ownership remains with the Supplier until full payment is received and cleared.
- Risk transfers to the Customer upon delivery.
- The Customer is responsible for tracking shipments.
6. Product Purpose & Use
- Happy Hull is not a dry-docking solution. It is a marine growth deterrent fabric cover for boat hulls.
- The cover creates an uninhabitable environment for marine growth, whether water is drained or not.
- It may allow minor water ingress (e.g., rain, condensation, small holes), but this does not affect its effectiveness.
7. Delivery & Installation
- Shipping methods and costs vary by location and are agreed upon per order.
- It is the Customer’s responsibility to ensure delivery arrangements are in place.
8. Unclaimed or Refused Goods
If the product is not accepted or collected within 7 days of delivery to a designated location, the Supplier reserves the right to:
- Dispose of, resell, or recover the item; and
- Invoice the Customer for associated costs (e.g., storage, transport, handling).
9. Prices & Quotes
- All prices exclude freight, import duties, or local taxes. Any such charges are the customers liability.
- Prices are subject to change without notice.
- Variations to orders may incur additional charges.
- Quotations are valid for 30 calendar days, unless stated otherwise.
10. Payment Terms
- Custom Products: 30% deposit upon order; 70% before delivery.
- Universal Products: 100% upfront payment.
- All orders require full payment before dispatch.
11. Cancellations & Returns
- Due to their custom nature, Happy Hull products are non-refundable and non-returnable.
- These products are exempt from the Distance Selling Regulations.
- Once used or deployed in water, the product is deemed accepted by the Customer.
- Orders may be canceled by the Supplier due to breach, false information, insolvency, or supply chain issues.
12. Product Representation
The Customer acknowledges that actual product color, finish, or texture may vary slightly from:
- Printed materials or catalogues
- Website imagery
- Physical samples
13. Intellectual Property
All intellectual property in or related to the Happy Hull product remains the exclusive property of the Supplier, unless otherwise agreed in writing.
14. Force Majeure
The Supplier is not liable for delays or failures in performance due to events beyond its control, including (but not limited to): natural disasters, war, embargoes, shipping disruptions, strikes, or supplier failure.
15. Warranty
- Products carry a 1-year warranty covering manufacturing defects.
- It is the Customer’s responsibility to provide accurate boat specifications.
- The Supplier will replace products that are incorrectly sized due to Supplier error.
- Warranty exclusions include: accidental damage, wear and tear, misuse, or unauthorised modifications.
Note:
The Happy Hull is a passive underwater cover—not a mechanical or electrical device. As such, no maintenance warranty or service is included. The Supplier does not offer maintenance contracts or insurance coverage. Customers may seek local marine insurers if desired.
16. Indemnity & Liability Limitations
- The Supplier’s liability is capped at the original sale price of the product.
- The Supplier shall not be liable for consequential, indirect, incidental, or special damages.
- Customers assume responsibility for all use, handling, and maintenance after delivery.
17. Modifications
Any modification to these Terms must be agreed in writing by an authorised Supplier representative. Unauthorised alterations to Happy Hull products void warranty and are made at the Customer’s own risk.
